The following Terms and Conditions details the relationship between Cyberbrainz.com and the client regarding the authoring/publishing of web pages, hosting and all other services offered.

Web page Design Services........
1.The term 'pages' refers to 'WWW', 'Web' or 'home' pages specifically authored for the World Wide Web as accessed through the Internet or other computer networks capable of providing access to the World Wide Web.

2.The term 'placement' refers to the placing of pages in a 'Web server' directory such that the pages are publicly accessible and possess a unique Uniform Resource Locator (URL) address.

3.We reservee the right not to place or suspend current placements if the materials fail to meet the terms and conditions detailed here, even if ordered and paid for.

4.HOLD does not make any guarantees regarding placement or that placement will occur on any specific date or dates or in any specific location.

5.File conversion and OCR of documents is considered per 8 1/2x11 page while web documents created are considered a page on the per HTML file bases.

Errors and Liabilities......
1.We will use its best endeavors to ensure pages authored by us are free of errors

2.We may not be held responsible for any errors that may arise in the course of authoring any pages. Such errors include but are not limited to :-

The accidental inclusion of material other than that ordered,
The non-inclusion of ordered material,
Grammatical or spelling errors within pages due to originals,
Misplacement of graphics or text,
Malfunctioning of interactive elements included in the pages due to browser.
While subscribing to virtual email service, we are not responsible for any lost email at any time.
While hosting web site, we are not responsibe for any server down time and loss of clients or money due to this in any shape or form.

3.Onsetindia does not accept any liability for losses or damages arising from errors within any page or if pages are not placed.

Permissions and copyright......
1.The client will obtain all the necessary permissions and authorities in respect of the use of all copy, graphic graphics, registered company logos, names and trademarks or any other supplied material.

2.Every order for page placement shall be regarded as a guarantee by the client to us that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested at any time.

3.No responsibility will be accepted by us for damages to or losses incurred by the client from the use of material for which the required permission or authority has not been properly obtained.

4.Before a CDR recording session can begin, client has to obtain any copyright authorizations for the item to be copied or copyrighted items will NOT be copied or created. This includes and is not limited to CD audio and CD-ROM including previously existing CDR with copyrighted materials on them.

5.All pages will include, at least, the name and telephone number and e-mail address (if applicable) of the client. We may request evidence of authenticity of this information prior to placement.

6.All pages will include the version number and placement date in hidden text, or in visible text at the end of each page at the client's request.

7.We reserves the right to append a hyperlink to Onsetindiahomepage at the very end of the ³home page² we have created.

Post-placement alterations.....
1.Cyberbrainz cannot and will not accept responsibility for any alterations caused by third party action occurring to the clients' pages once placed.

2.Such alterations include, but are not limited to additions, modifications or deletions.

Payment Terms......
1.Checks are to be made payable to "Cyberbrainz Web Solutions".

2.We require signed written confirmation of the order by fax or letter detailing the agreed work and amount before authoring or any other work will begin.

3.The customer will be invoiced for web page authoring upon placement of the order in writing.

4.We require the client to pay 50% of the final agreed cost of the pages upon placement of order.

5.Payment for the authoring must be received in full before the pages are placed on the server.

6.In the event of a client wishing to delay final payment, a surcharge of 10% will be made on the outstanding amount.

7.We reserve the right to delay placement of the pages or delivery of project until final payment is received in full.

Cancellations.....
1.Cancellation of orders for authoring or placement may, in the first instance, be made by telephone or email, but must be confirmed in writing or by fax with the original signature.

2.The client will be invoiced for authoring work completed to the date of first notice of cancellation for payment in full within 30 days.

3.The full invoiced amount of the order must be paid if the cancellation is not received in writing or by fax within 10 working days.

Alterations to terms and conditions.......
1.Cyberbrainz Web Solutions reserves the right to change, at any time, the terms and conditions of the acceptance of orders for authoring and placement of client's pages or projects.

Acceptance of terms and conditions......
1.The placement of an order or contract for the authoring or placement of pages with Cyberbrainz will be regarded as an acceptance of all of the above terms and conditions.

2.Orders may be placed, in the first instance, by telephone or email and must be confirmed in writing or by fax, including a signed copy of these terms and conditions.
